These Terms and Conditions (the \u201cTerms\u201d<\/strong>) govern your access to and use of DTCM\u2019s websites, applications, tools, and services (collectively, the \u201cServices\u201d<\/strong>), and any purchases, orders, or program participation you make through the Services.<\/p>

  • \u201cDTCM,\u201d \u201cwe,\u201d \u201cus,\u201d \u201cour\u201d<\/strong> means the DTCM entity providing the Services.<\/li>
  • \u201cYou,\u201d \u201cyour\u201d<\/strong> means the person or entity using the Services.<\/li>
  • \u201cProducts\u201d<\/strong> means goods or services offered through the Services.<\/li>
  • \u201cProgram\u201d<\/strong> means any practitioner, professional, referral, incentive, wholesale-access, payout, or similar program offered by DTCM.<\/li>
  • \u201cPayouts\u201d<\/strong> means commissions, credits, rebates, incentives, discounts, or other benefits offered under a Program.<\/li>
  • \u201cThird-Party Provider\u201d<\/strong> means a distributor, payment processor, logistics provider, marketplace, or other third party involved in providing the Services.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    You must be able to form a legally binding contract to use the Services. You represent that all information you provide is accurate and complete and that you will keep it updated.<\/p>

    • You are responsible for maintaining the confidentiality of your login credentials.<\/li>
    • You are responsible for all activity under your account.<\/li>
    • You agree to notify us promptly of suspected unauthorized access or misuse.<\/li><\/ul>

      • violate any applicable law, regulation, or third-party rights;<\/li>
      • use the Services for deceptive, misleading, fraudulent, or harmful conduct;<\/li>
      • submit false, manipulated, or inaccurate information (including for orders, returns, Program participation, or Payouts);<\/li>
      • interfere with the security or operation of the Services; or<\/li>
      • attempt to circumvent eligibility rules, verification processes, or tracking systems.<\/li><\/ul>

        We may suspend or terminate access for suspected misuse or violations.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

          If you enroll in or participate in any Program, the following Program Terms apply in addition to the rest of these Terms.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

          To enroll and remain eligible, you represent and warrant that you:<\/p>

          • will provide accurate and complete enrollment information and keep it updated;<\/li>
          • will maintain any required professional licenses, registrations, certifications, or permissions (if applicable to your role); and<\/li>
          • will comply with all applicable laws and professional obligations relevant to your participation.<\/li><\/ul>

            We may require verification of identity, credentials, business status, tax information, or other documentation. We may accept or reject enrollment requests, and we may suspend participation pending verification or investigation.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

            13.2 Compliance and Professional Judgment<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

            Program participation must not be used in a manner that:<\/p>

            • improperly influences independent professional judgment;<\/li>
            • constitutes unlawful patient\/client steering, kickbacks, improper inducement, or similar prohibited conduct; or<\/li>
            • violates applicable advertising, consumer protection, healthcare compliance, anti-corruption, or professional rules.<\/li><\/ul>

              You are solely responsible for determining whether and how you may participate, including any disclosures required by law, your employer, or your professional standards.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

              13.3 Required Disclosures in Marketing and Endorsements<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

              If you promote, recommend, or discuss DTCM, Products, or Program benefits publicly (including on social media, websites, email, events, or printed materials), you agree to make clear, conspicuous, and timely disclosures<\/strong> of any material relationship with DTCM (including that you may receive Payouts, discounts, free products, or other benefits), as required by applicable law and guidance.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

              13.4 Program Rules; Prohibited Conduct<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

              You agree not to:<\/p>

              • engage in spam, misleading advertising, or prohibited marketing practices;<\/li>
              • misrepresent your credentials, affiliation, or authority;<\/li>
              • artificially inflate transactions or activity to earn Program benefits; or<\/li>
              • submit fabricated, manipulated, or otherwise ineligible activity for Payouts.<\/li><\/ul>

                We may withhold benefits, reverse Payouts, or terminate participation for suspected fraud, abuse, or noncompliance.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                13.5 Wholesale or Professional Purchasing (If Offered)<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                If your Program includes wholesale purchasing, professional ordering privileges, or special pricing:<\/p>

                • orders may be fulfilled by DTCM or authorized Third-Party Providers;<\/li>
                • additional order-specific terms (such as shipping, returns, restocking, and handling of damaged goods) may apply at checkout or in the applicable purchase flow; and<\/li>
                • wholesale\/professional access may be modified, suspended, or discontinued at any time, subject to applicable law.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                  13.6 Payouts and Benefits (General)<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                  If your Program offers Payouts:<\/p>

                  • Payouts are earned only on eligible<\/strong> transactions or activities as determined under the Program rules and verification processes.<\/li>
                  • Payouts are not guaranteed and may vary based on eligibility, compliance, and Program changes.<\/li>
                  • We may impose reasonable conditions such as minimum thresholds, verification steps, approved payment methods, and administrative requirements.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
                    \n\t\t\t\t
                    \n\t\t\t\t\t

                    13.7 Adjustments, Reversals, Withholding, and Setoff<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                    We may withhold, reduce, reverse, or offset Payouts where we reasonably determine that:<\/p>

                    • the underlying transaction was refunded, canceled, disputed, charged back, or deemed ineligible;<\/li>
                    • Program rules, these Terms, or applicable law were violated;<\/li>
                    • the Payout resulted from error, duplication, abuse, or suspected fraud; or<\/li>
                    • withholding is necessary for compliance, verification, or risk management.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                      \n\t\t\t\t\t

                      13.8 Taxes and Reporting for Payouts<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                      You are responsible for all tax obligations related to Payouts or other Program benefits. We may request tax documentation or withhold amounts as required by law and may issue required tax forms where applicable.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                      You agree to maintain reasonable records related to your participation (including disclosures and marketing claims, if applicable) and to provide information reasonably requested to confirm compliance, prevent fraud, or meet legal obligations.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                      You may receive non-public information about Program operations, pricing structures, business terms, or processes (\u201cConfidential Information\u201d<\/strong>). You agree to use Confidential Information only for Program participation and not disclose it except as required by law.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                      We may suspend or terminate your Program participation (and\/or access to benefits) for noncompliance, risk, or if a Program is discontinued. Sections relating to confidentiality, compliance, Payout adjustments, taxes, dispute provisions, and other terms that by their nature should survive will survive termination.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

                      Some aspects of the Services may be provided or supported by Third-Party Providers (e.g., payment processing, shipping, distribution). Your interactions with Third-Party Providers may be subject to their terms and policies.<\/p>

                      To the extent permitted by law, we are not responsible for Third-Party Provider outages, delays, or failures outside our reasonable control.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t
